Parent Closing Stock Price definition

Parent Closing Stock Price means the average of the volume-weighted average sales price per share of Parent Common Stock on NASDAQ (as reported by Bloomberg L.P. or, if not reported therein, in another authoritative source mutually selected by the parties) for the consecutive period of fifteen (15) trading days ending on (and including) the trading day that is four trading days prior to the Closing Date, taken to four decimal places.
Parent Closing Stock Price means the volume weighted average trading price of the Parent Common Stock on the NYSE for the 10 trading days prior to the Effective Date;
Parent Closing Stock Price means the average VWAP of the Parent Common Stock over the 20 trading days ending on the third trading day preceding the Closing Date.

  • If Parent is required to pay any Aggregate Cash Consideration, then each holder of Company Common Stock shall be entitled to receive a portion of the Aggregate Cash Consideration equal to (X) the number of shares of Parent Common Stock that the holder of Company Common Stock is entitled to receive under Section 2.6(a)(i), multiplied by (Y) $4.75 less the greater of (I) the Parent Closing Stock Price or (II) $4.00.

  • Each holder of Company Capital Stock who otherwise would have been entitled to a fraction of a share of Parent Common Stock will receive in lieu thereof cash in an amount determined by multiplying such fractional share of Parent Common Stock by the Parent Closing Stock Price.

  • The amount of such adjustment shall be the product of such fraction of a share of Parent Common Stock multiplied by the Parent Closing Stock Price (the “Fractional Share Cash Amount”).

  • In lieu of any such fractional securities, each holder otherwise entitled to a share of Parent Common Stock will be entitled to receive a cash payment in United States currency from the Depositary equal to the product of such fractional interest and the Parent Closing Stock Price, such amount to be provided to the Depositary by Parent on behalf of Parent SubCo upon request by the Depositary.

Parent Closing Stock Price means the closing price per share of Parent Common Stock on the NYSE MKT on the last trading day immediately prior to a relevant determination date under this Agreement.

Parent Closing Stock Price means the volume weighted average trading price, rounded to the nearest cent, of the Parent Common Stock for the 10 trading days immediately prior to (but excluding) the Effective Date, for the period running from 9:30 a.m. Eastern Time on the first day in such 10 trading day period through 4:30 p.m. Eastern Time on the last day in such 10 trading day period, determined using the “Bloomberg VWAP” on the Volume-Weighted Average Quote Recap page of Bloomberg or, if the Bloomberg VWAP is not available, determined from another reputable source as decided by Parent and Company in their discretion;
Parent Closing Stock Price means the sale price per share of Parent Common Stock (assuming such shares are not restricted) on The Nasdaq Global Select Market at the close of trading on the trading day immediately preceding the Closing Date, as calculated by Bloomberg L.P. “Parent Closing VWAP” means the volume-weighted average sale price per share of Parent Common Stock (assuming such shares are not restricted) on The Nasdaq Global Select Market for the five
Parent Closing Stock Price means the 30-Day Trailing VWAP of Parent Common Stock as of the Closing Date.
Parent Closing Stock Price means the VWAP over the five (5) consecutive trading day period ending two (2) full trading days prior to the Closing Date.
Parent Closing Stock Price shall have the meaning as set forth in Section 2.1(b)(i)(E).
