Common use of Parent to Provide Common Stock Clause in Contracts

Parent to Provide Common Stock. Promptly after the Effective Time, Parent shall deposit with the Exchange Agent, for the benefit of the holders of shares of Company Common Stock, for exchange in accordance with this Article I, through such reasonable procedures as Parent and the Exchange Agent may adopt, certificates representing the shares of Parent Common Stock issuable pursuant to Section 1.6 in exchange for outstanding shares of Company Common Stock, together with cash in an amount sufficient to pay any dividends or distributions with respect thereto with a record date after the Effective Time, and any cash payable in lieu of any fractional Parent Common Stock.

Parent to Provide Common Stock. Promptly after the Effective Time, the Parent shall deposit with supply or cause to be supplied or made available to the Exchange Agent, for the benefit of the holders of shares of Company Common Stock, Agent for exchange in accordance with this Article I, Section 1.9 through such reasonable procedures as the Parent and the Exchange Agent may adopt, instructions regarding issuance of certificates representing evidencing the shares of Parent Common Stock issuable pursuant to Section 1.6 1.5(a) in exchange for outstanding shares of Company Common Stock, together with cash in an amount sufficient to pay any dividends or distributions with respect thereto with a record date after Stock outstanding immediately before the Effective Time, and any cash payable in lieu of any fractional Parent Common StockTime (the “Exchange Shares”).
