Common use of Parent to Provide Common Stock Clause in Contracts

Parent to Provide Common Stock. At the Effective Time, Parent shall deposit with the Exchange Agent, for the benefit of the holders of Company Common Stock, certificates of Parent Common Stock (“Parent Certificates”) representing the number of whole shares of Parent Common Stock issuable pursuant to Section 2.1(a) in exchange for shares of Company Common Stock outstanding immediately prior to the Effective Time. From time to time, Parent shall make available to the Exchange Agent sufficient cash to make all cash payments in lieu of fractional shares pursuant to Section 2.4.

Parent to Provide Common Stock. At Promptly after the Effective Time, Parent shall deposit with make available to the Exchange Agent, for the benefit of the holders of Company Common Stockexchange in accordance with this Article I, certificates of Parent Common Stock (“Parent Certificates”) representing the number of whole shares of Parent Common Stock issuable pursuant to Section 2.1(a) 1.6 in exchange for outstanding shares of Company Common Stock outstanding immediately prior to the Effective Time. From time to timeStock, Parent shall make available to the Exchange Agent and cash in an amount sufficient cash to make all cash payments for payment in lieu of fractional shares pursuant to Section 2.41.6(f).

At the Effective Time, Parent shall deposit with the Exchange Agent, for the benefit of the holders of Company Common StockShares and for exchange in accordance with this Section 1, certificates of Parent Common Stock (“Parent Certificates”) representing the number of whole shares of Parent Common Stock issuable pursuant to Section 2.1(a1.5(a)(v) in exchange for shares of outstanding Company Common Stock outstanding immediately prior to the Effective Time. From time to timeShares, Parent shall make available to the Exchange Agent and cash in an amount sufficient cash to make all cash payments for payment in lieu of fractional shares pursuant to Section 2.41.5(a)(vii).

At Promptly after the Effective Time, Parent shall deposit with make available to the Exchange Agent, for the benefit of the holders of Company Common Stockexchange in accordance with this Article I, certificates of Parent Common Stock (“Parent Certificates”) representing the number of whole shares of Parent Common Stock issuable pursuant to Section 2.1(a) 1.5 in exchange for outstanding shares of Company Common Stock outstanding immediately prior Stock. Such shares to be issued in accordance with the Effective Time. From time named shareholders, and number of shares to timebe issued, Parent shall make available as set out in a hereto to be provided by the Exchange Agent sufficient cash to make all cash payments in lieu of fractional shares pursuant to Section 2.4Company.
