Common use of Partial Indemnity Clause in Contracts

Partial Indemnity. If Director is entitled under any provision of this Agreement to indemnification by Company for some or a portion of the costs, expenses, judgments, fines, penalties and amounts paid in settlement, but not for the total amount thereof, Company shall nevertheless indemnify Director for the portion thereof to which Director is entitled.

Partial Indemnity. If the Director is entitled under any provision of this Agreement agreement to indemnification indemnity by the Company for some or a portion of the costsExpenses actually or reasonably incurred by him in the investigation, expensesdefense, judgmentsappeal, fines, penalties and amounts paid in settlementor settlement of any Proceeding, but not for the total amount thereof, the Company shall nevertheless indemnify the Director for the portion thereof of such Expenses to which the Director is entitled.
