Common use of Partial invalidity and unintentional gaps Clause in Contracts

Partial invalidity and unintentional gaps. If a provision of this Agreement is or becomes invalid or if this Agreement contains unintentional gaps, this will not affect the va- lidity of the other provisions of this Agreement. The Contracting Parties will replace any invalid provision by a valid provision which comes as close as possible to the purpose of and intent of the in- valid provision. The Contracting Parties will fill any unintentional gap by a provision which best suits the purpose and intent of this Agreement in compliance with the IPA Framework Regulation and the IPA Implementing Regulation.
