Partial Termination after Initial Closing. If any of the Subsequent Closing contemplated by Section 2.09 has not been completed prior to the Subsequent Closing Outside Date (a "Failed Subsequent Closing"), Seller Parent in its sole discretion may elect to terminate this Agreement solely insofar as it pertains to such Failed Subsequent Closing and the Subsequent Closing Assets and Liabilities, subject to such Failed Subsequent Closing and release the parties from their respective obligations to complete such Failed Subsequent Closing, and abandon the transactions contemplated with respect thereto.
