Common use of Partial Termination Clause in Contracts

Partial Termination. 30.7.1 Where the Authority has the right to terminate this Framework Agreement, the Authority is entitled to terminate all or part of this Framework Agreement pursuant to this Clause 30.7 provided always that, if the Authority elects to terminate this Framework Agreement in part, the parts of this Framework Agreement not terminated or suspended can, in the Authority’s reasonable opinion, operate effectively to deliver the intended purpose of the surviving parts of this Framework Agreement. 30.7.2 The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 (Variation Procedure) including the effect that the partial termination may have on the provision of any other Goods and/or Services and the Framework Prices provided that: (a) the Supplier shall not be entitled to an increase in the Framework Prices in respect of the Goods and/or Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting Body’s termination rights under Clause 30 (Authority Termination Rights) with the exception of Clause 30.6 (Termination Without Cause); and (b) the Supplier shall not be entitled to reject the variation.

Partial Termination. 30.7.1 33.8.1 Where the Authority has the right to terminate this Framework Agreement, the Authority is entitled to terminate all or part of this Framework Agreement pursuant to this Clause 30.7 33.8 provided always that, if the Authority elects to terminate this Framework Agreement in part, the parts of this Framework Agreement not terminated or suspended can, in the Authority’s reasonable opinion, operate effectively to deliver the intended purpose of the surviving parts of this Framework Agreement. 30.7.2 33.8.2 The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 19.1 (Variation Procedure) including the effect that the partial termination may have on the provision of any other Goods and/or Services and the Framework Prices provided that: (a) the Supplier shall not be entitled to an increase in the Framework Prices in respect of the Goods and/or Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting BodyAuthority’s termination rights under Clause 30 33 (Authority Termination Rights) with the exception of Clause 30.6 33.7 (Termination Without Cause); and (b) the Supplier shall not be entitled to reject the variation.

The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 50.1 (Variation Procedure) including the effect that the partial termination may have on the on the provision of any other Goods and/or Services and the Framework Prices provided that: (a) : the Supplier shall not be entitled to an increase in the Framework Prices in respect of the Goods and/or Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting BodyAuthority’s termination rights under Clause 30 79 (Authority Termination Rights) with the exception of Clause 30.6 79.7 (Termination Without Cause); and (b) and the Supplier shall not be entitled to reject the variation.

Partial Termination. 30.7.1 Where the Authority Fund has the right to terminate this Framework Agreement, the Authority Fund is entitled to terminate all or part of this Framework Agreement pursuant to this Clause 30.7 28.6 provided always that, if the Authority Fund elects to terminate this Framework Agreement in part, the parts of this Framework Agreement not terminated or suspended can, in the AuthorityFund’s reasonable opinion, operate effectively to deliver the intended purpose of the surviving parts of this Framework Agreement. 30.7.2 . The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 17.1 (Variation Procedure) including the effect that the partial termination may have on the on the provision of any other Goods and/or Services and the Framework Prices provided that: (a) : the Supplier shall not be entitled to an increase in the Framework Prices in respect of the Goods and/or Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting BodyCustomer’s termination rights under Clause 30 28 (Authority Termination Rights) with the exception of Clause 30.6 28.5 (Termination Without Cause); and (b) and the Supplier shall not be entitled to reject the variation.

The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 46.1 (Variation Procedure) including the effect that the partial termination may have on the on the provision of any other Goods and/or Services Services, the Other Charges and the Framework Prices Support Rates provided that: (a) : the Supplier shall not be entitled to a reduction in the Framework Support Rates or an increase in the Framework Prices Other Charges in respect of the Goods and/or Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting BodyCustomer’s termination rights under Clause 30 75 (Authority Termination Rights) with the exception of Clause 30.6 75.6 (Termination Without Cause); and (b) and the Supplier shall not be entitled to reject the variation.

The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 17.1 (Variation Procedure) including the effect that the partial termination may have on the on the provision of any other Goods and/or Services and the Framework Prices provided that: (a) : the Supplier shall not be entitled to an increase in the Framework Prices in respect of the Goods and/or Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting Body’s Authority termination rights under Clause 30 31 (Authority Termination Rights) with the exception of Clause 30.6 31.5 (Termination Without Cause); and (b) and the Supplier shall not be entitled to reject the variation.

Partial Termination. 30.7.1 Where the Authority has the right to terminate this Framework Agreement, the Authority is entitled to terminate all or part of this Framework Agreement pursuant to this Clause 30.7 33.8 provided always that, if the Authority elects to terminate this Framework Agreement in part, the parts of this Framework Agreement not terminated or suspended can, in the Authority’s reasonable opinion, operate effectively to deliver the intended purpose of the surviving parts of this Framework Agreement. 30.7.2 . The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 19.1 (Variation Procedure) including the effect that the partial termination may have on the on the provision of any other Goods and/or and Services and the Framework Prices provided that: (a) : the Supplier shall not be entitled to an increase in the Framework Prices in respect of the Goods and/or and Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting BodyAuthority’s termination rights under Clause 30 33 (Authority Termination Rights) with the exception of Clause 30.6 33.7 (Termination Without Cause); and (b) and the Supplier shall not be entitled to reject the variation.

Partial Termination. 30.7.1 33.7.1 Where the Authority has the right to terminate this Framework Agreement, the Authority is entitled to terminate all or part of this Framework Agreement pursuant to this Clause 30.7 33.7 provided always that, if the Authority elects to terminate this Framework Agreement in part, the parts of this Framework Agreement not terminated or suspended can, in the Authority’s reasonable opinion, operate effectively to deliver the intended purpose of the surviving parts of this Framework Agreement. 30.7.2 33.7.2 The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 19.1 (Variation Procedure) including the effect that the partial termination may have on the on the provision of any other Goods and/or Vehicle Hire Services and the Framework Prices provided that: (a) the Supplier shall not be entitled to an increase in the Framework Prices in respect of the Goods and/or Vehicle Hire Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting BodyCustomer’s termination rights under Clause 30 33 (Authority Termination Rights) with the exception of Clause 30.6 33.6 (Termination Without Cause); and (b) the Supplier shall not be entitled to reject the variation.

The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 18.1 (Variation Procedure) including the effect that the partial termination may have on the on the provision of any other Goods and/or Services Services, the Other Charges and the Framework Prices Support Rates provided that: (a) : the Supplier shall not be entitled to a reduction in the Support Rates or an increase in the Framework Prices Other Charges in respect of the Goods and/or Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting BodyCustomer’s termination rights under Clause 30 32 (Authority Termination Rights) with the exception of Clause 30.6 32.6 (Termination Without Cause); and (b) and the Supplier shall not be entitled to reject the variation.

Partial Termination. 30.7.1 34.8.1 Where the Authority has the right to terminate this Framework Agreement, the Authority is entitled to terminate all or part of this Framework Agreement pursuant to this Clause 30.7 34.8 provided always that, if the Authority elects to terminate this Framework Agreement in part, the parts of this Framework Agreement not terminated or suspended can, in the Authority’s reasonable opinion, operate effectively to deliver the intended purpose of the surviving parts of this Framework Agreement. 30.7.2 34.8.2 The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 20.1 (Variation Procedure) including the effect that the partial termination may have on the on the provision of any other Goods and/or Services and the Framework Prices provided that: (a) the Supplier shall not be entitled to an increase in the Framework Prices in respect of the Goods and/or Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting BodyAuthority’s termination rights under Clause 30 34 (Authority Termination Rights) with the exception of Clause 30.6 34.7 (Termination Without Cause); and (b) the Supplier shall not be entitled to reject the variation.

Partial Termination. 30.7.1 Where the Authority Fund has the right to terminate this Framework Agreement, the Authority Fund is entitled to terminate all or part of this Framework Agreement pursuant to this Clause 30.7 27.6 provided always that, if the Authority Fund elects to terminate this Framework Agreement in part, the parts of this Framework Agreement not terminated or suspended can, in the AuthorityFund’s reasonable opinion, operate effectively to deliver the intended purpose of the surviving parts of this Framework Agreement. 30.7.2 . The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 (Variation Procedure) including the effect that the partial termination may have on the on the provision of any other Goods and/or Services and the Framework Prices provided that: (a) : the Supplier shall not be entitled to an increase in the Framework Prices in respect of the Goods and/or Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting BodyCustomer’s termination rights under Clause 30 27 (Authority The Fund Termination Rights) with the exception of Clause 30.6 27.5 (Termination Without Cause); and (b) and the Supplier shall not be entitled to reject the variation.

Partial Termination. 30.7.1 33.8.1 Where the Authority has the right to terminate this Framework Agreement, the Authority is entitled to terminate all or part of this Framework Agreement pursuant to this Clause 30.7 33.8 provided always that, if the Authority elects to terminate this Framework Agreement in part, the parts of this Framework Agreement not terminated or suspended can, in the Authority’s reasonable opinion, operate effectively to deliver the intended purpose of the surviving parts of this Framework Agreement. 30.7.2 33.8.2 The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 19.1 (Variation Procedure) including the effect that the partial termination may have on the on the provision of any other Goods and/or Services and the Framework Prices provided that: (a) the Supplier shall not be entitled to an increase in the Framework Prices in respect of the Goods and/or Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting BodyAuthority’s termination rights under Clause 30 33 (Authority Termination Rights) with the exception of Clause 30.6 33.7 (Termination Without Cause); and (b) the Supplier shall not be entitled to reject the variationVariation.

The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 18.1 (Variation Procedure) including the effect that the partial termination may have on the on the provision of any other Goods and/or Services and the Framework Prices provided that: (a) the Supplier Provider shall not be entitled to an increase in the Framework Prices in respect of the Goods and/or Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting BodyAuthority’s termination rights under Clause 30 33 (Authority Termination Rights) with the exception of Clause 30.6 33.7 (Termination Without Cause); and (b) the Supplier Provider shall not be entitled to reject the variation.

The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 (Variation Procedure) including the effect that the partial termination may have on the on the provision of any other Goods and/or Services and the Framework Prices provided that: (a) : the Supplier shall not be entitled to an increase in the Framework Prices in respect of the Goods and/or Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting BodyCustomer’s termination rights under Clause 30 (Authority Termination Rights) with the exception of Clause 30.6 30.7 (Termination Without Cause); and (b) and the Supplier shall not be entitled to reject the variation.

The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 19.1 (Variation Procedure) including the effect that the partial termination may have on the on the provision of any other Goods and/or Services and the Framework Prices provided that: (a) : the Supplier shall not be entitled to an increase in the Framework Prices in respect of the Goods and/or Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting BodyAuthority’s termination rights under Clause 30 33 (Authority Termination Rights) with the exception of Clause 30.6 33.8 (Termination Without Cause); and (b) and the Supplier shall not be entitled to reject the variation.

Partial Termination. 30.7.1 28.7.1 Where the Authority has the right to terminate this Framework Agreement, the Authority is entitled to terminate all or part of this Framework Agreement pursuant to this Clause 30.7 28.7 provided always that, if the Authority elects to terminate this Framework Agreement in part, the parts of this Framework Agreement not terminated or suspended can, in the Authority’s reasonable opinion, operate effectively to deliver the intended purpose of the surviving parts of this Framework Agreement. 30.7.2 28.7.2 The Parties shall endeavour to agree the effect of any Variation necessitated by a partial termination in accordance with Clause 16.1 (Variation Procedure) including the effect that the partial termination may have on the provision of any other Goods and/or Services and the Framework Prices provided that: (a) the Supplier shall not be entitled to an increase in the Framework Prices in respect of the Goods and/or Services that have not been terminated if the partial termination arises due to the exercise of any of the Contracting BodyAuthority’s termination rights under Clause 30 28 (Authority Termination Rights) with the exception of Clause 30.6 28.6 (Termination Without Cause); and (b) the Supplier shall not be entitled to reject the variation.
