Common use of Partial Validity Clause in Contracts

Partial Validity. If any provision of this Agreement or the application thereof to any person or circumstance shall be invalid or unenforceable to any extent, the remainder of this Agreement and the application of such provision to persons or circumstances other than those as to which it is held invalid or unenforceable shall not be affected thereby, and each provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law. Any invalid or unenforceable provision of this Agreement shall be replaced with a provision which is valid and enforceable and most nearly reflects the original intent of the unenforceable provision.

Partial Validity. If any term or provision of this Agreement or the application thereof to any person or circumstance shall be invalid or unenforceable shall, to any extent, be held invalid or unenforceable, the remainder of this Agreement and Agreement, or the application of such term or provision to persons or circumstances other than those as to which it is held invalid or unenforceable unenforceable, shall not be affected thereby, and each such term and provision of this Agreement shall be valid and enforceable be enforced to the fullest extent permitted by law. Any law unless the deletion of the invalid or unenforceable provision portion thereof shall cause a material deviation from the original purpose and intent of this Agreement shall be replaced with a provision which is valid and enforceable and most nearly reflects the original intent of the unenforceable provisionAgreement.
