Common use of Participant’s Actions Clause in Contracts

Participant’s Actions. Each Participant shall be solely responsible for any damage to a computer system, loss of data, and any damage to the HIE caused by the acts and omissions of the Participant and/or its Authorized Users and all other individuals who access the HIE and/or use the Services either through the Participant or by use of any password, identifier or log-on received or obtained from the Participant or any of the Authorized Users, only if such access was obtained as a result of the negligence or willful misconduct of the Participant or a Participant’s Authorized User.

Participant’s Actions. Each Participant shall be solely responsible for any damage to a computer system, loss of data, and any damage to the HIE caused by the acts and omissions of the Participant and/or that Participant, its Authorized Users and all other individuals who access the HIE and/or use the Services either through the Participant or by use of any password, identifier or log-on received or obtained from the Participant or any of the Authorized Users, only if such access was obtained as person using a result of the negligence or willful misconduct of user name and/or password assigned to the Participant or a member of the Participant’s Authorized Userworkforce.
