Common use of Participant's Representations, Warranties and Certifications Clause in Contracts

Participant's Representations, Warranties and Certifications. As of the Effective Date, Participant hereby represents, warrants and certifies as follows: a) Participant is duly authorized to enter into this Agreement, and the execution, delivery and performance of this Agreement will not conflict with any other agreement or instrument to which it is a party or by which it is bound and will not violate any law, regulation, order or other legal requirement by which Participant or any of its assets is bound.
