Participation by the Owner Participant. Subject to the satisfaction of the conditions in Sections 5(a) and 11(a), on the Closing Date the Owner Participant agrees to (i) make an equity investment with respect to the Undivided Interest in an amount (the Investment) equal to 20% of the Purchase Price, (ii) make an equity investment with respect to the Real Property Interest in the amount of $19,417 (the Real Estate Investment), and (iii) provide to the Owner Trustee an amount equal to the Estimated Transaction Expenses. Proceeds of the Investment and the Real Estate Investment shall be paid directly to the Indenture Trustee, in immediately available funds, at the Indenture Trustee's Office.
