Common use of Parties and Assignment Clause in Contracts

Parties and Assignment. This Agreement and the other Financing Agreements shall be binding upon and inure to the benefit of the Agent, the Lenders, the Borrowers and their respective successors and assigns. Each Borrower's successors and assigns shall include, without limitation, any trustee, receiver or debtor in possession of or for such Borrower. Notwithstanding the foregoing, no Borrower may sell, assign or transfer this Agreement, or the other Financing Agreements or any portion thereof including, without limitation, its rights, titles, interests, remedies, powers and/or duties hereunder or thereunder.
