Common use of Parties Bound; Assignment Clause in Contracts

Parties Bound; Assignment. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors, assigns and legal representatives; provided, however, that except as provided in the Loan Agreement or herein, Indemnitors may not, without the prior written consent of Lender, assign any of their rights, powers, duties or obligations hereunder.

This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors, assigns and legal representativesrepresentatives and an assignment by any Secured Party of all or any part of its interest in the Loans (as and to the extent permitted under the Loan Agreement) shall not affect the liability of the Guarantor hereunder; provided, however, that except as provided in Section 5.15, the Loan Agreement or herein, Indemnitors Guarantor may not, without the prior written consent of LenderAdministrative Agent, assign any of their its rights, powers, duties or obligations hereunder.
