Common use of Parties in Interest; Third Party Beneficiaries Clause in Contracts

Parties in Interest; Third Party Beneficiaries. (a) Except as set forth in Section 7(b) hereof, (i) this letter is for the sole benefit of, shall be binding upon, and may be enforced solely by Parent and Sponsor, (ii) nothing in this letter, express or implied, is intended to or shall confer upon any person (other than Parent and Sponsor) any legal or equitable right, benefit or remedy of any nature whatsoever, and (iii) Parent’s creditors shall have no right to enforce, or to cause Parent to enforce, this letter.

Parties in Interest; Third Party Beneficiaries. (a) Except as This Letter shall be binding on Investor solely for the benefit of Parent, and nothing set forth in Section 7(b) hereof, (i) this letter is for the sole benefit of, Letter shall be binding upon, and may be enforced solely by Parent and Sponsor, (ii) nothing in this letter, express or implied, is intended construed to or shall confer upon or give to any person (other than Parent and Sponsor) any legal benefits, rights or equitable right, benefit remedies under or remedy of any nature whatsoever, and (iii) Parent’s creditors shall have no right to enforceby reason of, or any rights to enforce or cause Parent to enforce, the Commitment or any provisions of this letterLetter; provided that the Company is an express third-party beneficiary hereof and shall have the enforcement rights provided in clause (b) of paragraph 7 and no others.
