Common use of Parties to Use Reasonable Efforts Clause in Contracts

Parties to Use Reasonable Efforts. Each of the parties hereto agrees to use commercially reasonable efforts to obtain the consents and waivers referred to in Section 2.4(a) hereof and to obtain any other consents and waivers necessary to assign, convey, settle, deliver and transfer the Contributed Assets. The Company shall pay all costs and expenses associated with obtaining such consents and waivers.
