Partnering Milestones. (a) Licensee shall use Commercially Reasonable Efforts to (i) [***], or (ii) [***] (each, a “Partnering Milestone”) in each case, within [***] ([***]) years of the Effective Date (the “Partnering Milestone Deadline Date”). If Licensee fails to accomplish at least one of the Partnering Milestones prior to the Partnering Milestone Deadline Date, then [***] ([***]) days after receipt by Licensee of written notice from COH, the exclusive license granted pursuant to Section 3.2 shall convert to the following (“License Conversion”):
