Common use of Partners as of Effective Date Clause in Contracts

Partners as of Effective Date. The Initial Vodafone Partners are hereby admitted to the Company as a Partner of the Company effective as of the Effective Date. As of the Effective Date, the Partners are set forth on Schedule A and each such Partner shall have the Partnership Interests set forth opposite its name on Schedule A. Notwithstanding the fact that the Initial Vodafone Partners are admitted to the Company, an existing partnership, as of the Effective Date, the Initial Vodafone Partners are and shall be personally liable for any obligation of the Company incurred prior to the Effective Date subject to the rights and obligations of Vodafone under Article IX of the Alliance Agreement.
