Partners' Consent. Seller hereby consents to this Agreement and the transactions contemplated hereby, including, without limitation, the Exchange, on the terms and conditions set forth herein and in the agreements and documents contemplated hereby, and hereby waives all other rights of first offer, rights of first refusal and similar rights that Seller may have with respect to a transfer of Partnership Units by him/her/it or any other Seller.
