Partnership Contributions. At the Closing: (A) MUFG shall cause MUSHD to contribute to the Partnership 40 shares of MUMSS Class A Stock and 99,900 shares of MUMSS Class D Stock as consideration for a 60% (the “MUFG Ownership Percentage”) interest in the Partnership, as provided in the Partnership Agreement; (B) MS shall cause MSHD to contribute to the Partnership 49 shares of MSMS Class X Stock and 99,900 shares of MSMS Class W Stock as consideration for a 40% (the “MS Ownership Percentage”) interest in the Partnership, as provided in the Partnership Agreement.
