Common use of PARTNERSHIP INTERESTS SHALL BE SECURITIES Clause in Contracts

PARTNERSHIP INTERESTS SHALL BE SECURITIES. The Partnership Interests shall be deemed to be "securities" within the meaning of Section 8-102(a)(15) of the Uniform Commercial Code as in effect from time to time in the State of New York ("UCC"), including for purposes of the grant, pledge, attachment or perfection of a security interest in the Partnership Interests. The law of the State of New York is hereby designated as the issuer's jurisdiction within the meaning of Section 8-110(d) of the UCC for purposes of the matters specified therein.
