Become a general or limited partner in any partnership or a joint venturer in any joint venture, acquire any ownership interest in any other Person or enter into any profit-sharing or royalty agreement or other similar arrangement whereby the Borrower's income or profits are, or might be, shared with any other Person, or enter into any management contract or similar arrangement whereby its business or operations are managed by any other Person (other than the O&M Agreements or as contemplated in any Operational Plan) or form any Subsidiary (other than those validly existing on the Restructuring Effective Date).
