Common use of Passage of Title and Risk Clause in Contracts

Passage of Title and Risk. Title to the Goods and Services will pass to the City upon the earlier of payment for such Goods and Services by the City or when the Goods and Services are accepted by the City, provided that risk of loss and damage will remain with Vendor and will not transfer to the City until the Goods and Services are accepted by the City.
