Common use of Patent and Know-How License Clause in Contracts

Patent and Know-How License. Licensor hereby grants to Licensee a sole and exclusive, worldwide, transferable right and license under the Licensed Patents and Know-How to make, have made, use, import, offer for sale and sell the Products and to practice worldwide any process claimed or disclosed in the Licensed Patents and Know-how. Without limiting the foregoing, the Licensed Products may be distributed as a product to consumers, retailers, wholesalers or otherwise.

Patent and Know-How License. Subject to the terms and conditions of this Agreement and expressly conditioned on Licensee’s timely payment of the Upfront Fee, Licensor hereby grants to Licensee and its Affiliates during the Term a sole and exclusivenontransferable, worldwidenon-sublicensable, transferable exclusive right and license under the Licensed Patents and Licensed Know-How to make, have madeoffer to sell, usesell, import, offer for sale and sell the import Licensed Products and to practice worldwide any process claimed or disclosed in the Licensed Patents and Know-how. Without limiting Field of Use throughout the foregoing, the Licensed Products may be distributed as a product to consumers, retailers, wholesalers or otherwiseworld.

Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee Licensee, during the Term, a sole and exclusivenontransferable, worldwidenon-sublicensable, transferable non-exclusive right and license license, under the Licensed Patents and Licensed Know-How How, to make, have made, use, import, offer for sale and sell the Products and to practice worldwide any process claimed or disclosed filter Content in the Licensed Patents Field of Use within the Territory. For the avoidance of doubt, no “have filtered” rights are granted hereunder, and Know-how. Without limiting the foregoing, the Licensed Products may be distributed as a product Licensee has no right to consumers, retailers, wholesalers or otherwisepermit any third party to filter any Content.
