Common use of Patent and Trade Secret License Clause in Contracts

Patent and Trade Secret License. Licensor hereby grants to Licensee a non-exclusive, worldwide, fully paid-up, royalty-free, perpetual (subject to Section 6.2), non-sublicensable license to exercise all rights with respect to all Patents, trade secrets or know-how included in the Owned IP (and sublicense, with respect to Patents, trade secrets or know-how included in the Licensed IP), in each case solely in connection with Licensee’s performance of its duties and responsibilities under the Management Agreement. Licensee agrees to use all notices and confidentiality measures with respect to its use of the -3- Licensed Patents and Trade Secrets in accordance with all Legal Requirements (as defined in the Management Agreement), or as reasonably requested by Licensor and consistent with Licensor’s own use of such notices and confidentiality measures.
