Common use of Patents and Other Rights Clause in Contracts

Patents and Other Rights. Each of the Borrower and its Subsidiaries possesses all permits, franchises, licenses, patents, trademarks, trade names, service marks, copyrights and all rights with respect thereto, free from burdensome restrictions, that are necessary for the ownership, maintenance and operation of its business. Neither the Borrower nor any such Subsidiary is in violation of any rights of others with respect to the foregoing, except where such violation is not reasonably expected to result in a Material Adverse Effect.

Neither business and to the best of the Borrower's knowledge neither the Borrower nor any such Material Subsidiary is in violation of any rights of others with respect to the foregoing, except where such violation is not reasonably expected to result in a Material Adverse Effect.
