Common use of PATRIOT Act and Beneficial Ownership Certification Clause in Contracts

PATRIOT Act and Beneficial Ownership Certification. The Administrative Agent and the Amendment No. 9 Lead Arrangers shall have received at least three (3) Business Days prior to the Amendment No. 9 Effective Date all documentation and other information about the Borrower and the Guarantors as has been reasonably requested in writing at least ten (10) Business Days prior to the Amendment No. 9 Effective Date by the Administrative Agent or the Amendment No. 9 Lead Arrangers that they reasonably determine is required by regulatory authorities under applicable “know your customer” and anti-money laundering rules and regulations, including without limitation the USA PATRIOT Act, and, if the Borrower qualifies as a “legal entity” customer under 31 C.F.R. § 1010.230, a certification regarding beneficial ownership as required by 31 C.F.R. § 1010.230 in relation to the Borrower.
