Patriot Act; Canadian AML and Anti-Terrorism Laws Clause Samples

This clause requires parties to comply with the U.S. Patriot Act as well as Canadian anti-money laundering (AML) and anti-terrorism laws. In practice, it obligates parties to provide information or documentation verifying their identity and the source of funds, and to cooperate with any due diligence or reporting requirements imposed by these laws. The core function of this clause is to ensure that all parties adhere to legal standards designed to prevent money laundering and terrorist financing, thereby reducing legal and reputational risks for the parties involved.
Patriot Act; Canadian AML and Anti-Terrorism Laws. To the extent applicable, each Loan Party and each of its Subsidiaries is in compliance in all material respects with the (a) Trading with the Enemy Act, as amended, and each of the foreign assets control regulations of the United States Treasury Department (31 CFR, Subtitle B, Chapter V, as amended) and any other enabling legislation or executive order relating thereto, and (b) Uniting and Strengthening America by Providing Appropriate Tools Required to Intercept and Obstruct Terrorism (USA Patriot Act of 2001) (the “Patriot Act”) and all applicable Canadian Anti-Money Laundering & Anti-Terrorism Legislation. No part of the proceeds of the Loans made hereunder will be used by any Loan Party or any of their Affiliates, directly or indirectly, for any payments to any governmental official or employee, political party, official of a political party, candidate for political office, or anyone else acting in an official capacity, in order to obtain, retain or direct business or obtain any improper advantage, in violation of the United States Foreign Corrupt Practices Act of 1977, as amended.
