Patriot's Deliveries. (a) A certificate executed by Patriot to the effect that (1) the representations and warranties of Patriot contained in this Agreement are materially true and correct at and as of the Closing Date as though made at and as of the Closing Date and (2) Patriot has in all material respects performed all obligations required to be performed by it pursuant to the terms of this Agreement at or prior to the Closing Date.
