Common use of PAYING AGENT, CONVERSION AGENT AND SECURITY REGISTRAR Clause in Contracts

PAYING AGENT, CONVERSION AGENT AND SECURITY REGISTRAR. Initially, The Chase Manhattan Bank, as trustee (the "Trustee"), will act as Paying Agent, Conversion Agent and Security Registrar. The Company may appoint and change any Paying Agent, Conversion Agent, Security Registrar without notice, other than notice to the Trustee, provided that the Company shall maintain in the Borough of Manhattan, The City of New York, an office or agency of the Security Registrar, Paying Agent or Conversion Agent. The Company or any of its Subsidiaries or any of their Affiliates may act as Paying Agent, Conversion Agent and Security Registrar.
