PAYMENT AND DELIVERY OF STOCK CERTIFICATES. On the Closing Date (as defined below), (i) the Purchaser shall pay the Purchase Price by wire transfer of immediately available funds to the Company, in accordance with the Company's written instructions, against delivery of duly executed stock certificates which the Purchaser is then purchasing and (ii) the Company shall deliver to the Purchaser such stock certificates against delivery of the Purchase Price.
