Payment and Other Provisions After Change of Control. a. In the event the Executive’s employment with the Company is terminated within one year following the occurrence of a Change of Control (other than as a consequence of death or disability) either (x) by the Company for any reason other than for Cause, or (y) by Executive for Good Reason, then the Executive shall be entitled to receive from the Company, in lieu of the severance payment otherwise payable pursuant to Section 8.a., the following:
