PAYMENT BY SEARS. In the event Licensee, Owner or Sears are found legally responsible for the payment of the Licensee Obligations, and Licensee is unwilling or unable to pay the Licensee Obligations, Licensee agrees Sears may make such payments on Licensee's behalf and deduct the entire amount of such payments from monies due to Licensee by Sears and/or from the monies withheld by Sears from Licensee's settlement.
