Common use of Payment Contingent on Release Clause in Contracts

Payment Contingent on Release. If Officer's Termination of Employment is prior to a Change in Control (and only in that event), and Officer is otherwise entitled to the payment provided in subsection (d)(2) of this Section, then such payment shall be subject to, and contingent upon, Officer's execution of a General Release Agreement in favor of the Company in substantially the form and substance as the one attached hereto as Schedule B.
