Payment Determination and Adjustments. The determination of the amount of the Total Payments and whether and to what extent payments under Section 6(d)(2) are required to be made will be made at the Company’s expense by the Company’s independent auditor. In the event of any underpayment or overpayment to the Employee (determined after the application of this Section 6(d), the amount of such underpayment or overpayment will be immediately paid by the Company to the Employee or refunded by the Employee to the Company.
