PAYMENT FOR AND DELIVERY OF THE NOTES. The Note Trustee shall not be responsible for the application of the proceeds of the issue of any of the Notes by the Issuer or the exchange of any Global Note Certificate for any other Global Note Certificate or Individual Note Certificate, as the case may be.
