PAYMENT OF AMOUNTS HELD BY THE PAYING AGENT. If the appointment of a Paying Agent is terminated, that Paying Agent must, on the date on which that termination takes effect, pay to the successor Paying Agent any amount held by it for payment of principal or interest in respect of any Offered Note and must deliver to the successor Paying Agent all records maintained by it and all documents (including any Offered Notes) held by it pursuant to this Agreement.
