Common use of Payment of Consideration Clause in Contracts

Payment of Consideration. The Purchaser shall, following receipt of the Final Order and immediately prior to the filing by the Company of the Articles of Arrangement with the Director, provide the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the Purchaser, each acting reasonably) to satisfy the aggregate Consideration as provided in the Plan of Arrangement.

Payment of Consideration. The Purchaser shallwill, following receipt by the Company of the Final Order and the Regulatory Approvals listed in 7.1(c) and immediately prior to the filing by the Company of the Articles of Arrangement Effective Time, deposit in escrow with the Director, provide the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the PurchaserParties, each acting reasonably) sufficient Purchaser Shares and cash to satisfy the aggregate Consideration as provided in payable pursuant to the Plan of ArrangementArrangement to Company Shareholders.

Payment of Consideration. The Purchaser shall, following receipt of the Final Order and immediately prior to the filing by the Company of the Articles of Arrangement with the DirectorEffective Time, provide deliver or cause to be delivered to the Depositary with sufficient immediately available funds to be held in escrow (pending the terms and conditions of such escrow Effective Time, sufficient cash to be satisfactory to the Company and the Purchaser, each acting reasonably) to satisfy pay the aggregate Consideration as provided in to be paid to Shareholders (other than dissenting Shareholders) under the Plan of Arrangement.

Payment of Consideration. (1) The Purchaser shall, following receipt of the Final Order and immediately prior to the filing by the Company of the Articles of Arrangement with the DirectorArrangement, provide the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the Purchaser, each acting reasonably) to satisfy the aggregate Consideration as provided in the Plan of Arrangement.the:

The Purchaser shallshall promptly, following receipt of the Final Order and immediately in any event at least one Business Day prior to than the filing by the Company of the Articles of Arrangement with the DirectorEffective Date, provide the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the Purchaser, each acting reasonably) to satisfy the aggregate Consideration as provided in the Plan of Arrangement, including, for greater certainty, the amounts payable by the Company pursuant to Section 2.3(b) of the Plan of Arrangement.

Payment of Consideration. The Purchaser shallwill, following receipt of the Final Order and immediately prior to the filing by the Company of the Articles of Arrangement with the DirectorAlberta Registrar, provide the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the PurchaserCompany, each acting reasonably) to satisfy pay the aggregate Consideration as provided in for all of the Company Shares to be acquired pursuant to the Plan of Arrangement.

Payment of Consideration. The Purchaser shall, following receipt of the Final Order and immediately prior to the filing by the Company Corporation of the Articles of Arrangement with the Director, provide transfer or cause to be transferred to the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company Corporation and the Purchaser, each acting reasonably) in order to satisfy the aggregate Consideration payable to the Shareholders (other than the holders of the Excluded Shares) as provided for in the Plan of Arrangement.

Payment of Consideration. The Purchaser shall, following receipt of the Final Order and immediately prior to the filing by the Company of the Articles of Arrangement with the DirectorDirector in accordance with Section 2.7(3), provide or cause to be provided the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the Purchaser, each acting reasonably) ), to satisfy the aggregate Consideration as provided in consideration payable by the Purchaser pursuant to the Plan of Arrangement.

Payment of Consideration. The Purchaser shallwill, following receipt by the Company of the Final Order and the Regulatory Approvals listed in Section 7.1(d) and immediately prior to the filing by the Company of the Articles of Arrangement Effective Time, deposit in escrow with the Director, provide the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the PurchaserParties, each acting reasonably) sufficient Purchaser Shares to satisfy the aggregate Consideration as provided in payable pursuant to the Plan of ArrangementArrangement to Company Shareholders.

Payment of Consideration. The Purchaser shall, following receipt of the Final Order and immediately prior to the filing by the Company Corporation of the Articles of Arrangement with the Director, provide provide, or cause to be provided to, the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company Corporation and the Purchaser, each acting reasonably) to satisfy the aggregate Consideration payable to the Shareholders by the Purchaser as provided for in the Plan of Arrangement.

Payment of Consideration. The Purchaser shallwill, following receipt of the Final Order and immediately prior to the filing by the Company DRAXIS of the Articles of Arrangement with the Director, provide ensure that the Depositary has been provided with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the Purchaser, each acting reasonably) to satisfy pay the aggregate Consideration as provided in to be paid pursuant to the Plan of Arrangement.

Payment of Consideration. The Purchaser shall, following receipt of the Final Order and by no later than immediately prior to the filing sending by the Company of the Articles of Arrangement to the Director in accordance with the DirectorSection 2.7(3), provide the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the Purchaser, each acting reasonably) to satisfy the aggregate Consideration as provided in consideration payable by the Purchaser pursuant to the Plan of Arrangement.

Payment of Consideration. The Purchaser shallwill, following receipt by the Company of the Final Order and immediately prior to the filing by the Company of the Articles of Arrangement with the Director, provide deposit in escrow with the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the PurchaserParties, each acting reasonably) sufficient Purchaser Shares to satisfy the aggregate Consideration as provided in payable pursuant to the Plan of Arrangement.

Payment of Consideration. The Purchaser shallwill, following receipt by the REIT and ArrangementCo of the Final Order and at or immediately prior to the filing by the Company of the Articles of Arrangement Arrangement, deposit in escrow with the Director, provide the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the PurchaserParties, each acting reasonably) sufficient funds to satisfy the aggregate Aggregate Consideration as provided in payable to the REIT Unitholders pursuant to the Plan of Arrangement.

Payment of Consideration. The Purchaser shallwill, following receipt of the Final Order and immediately prior to the filing by the Company of the Articles of Arrangement with the Director, provide the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the PurchaserCompany, each acting reasonably) to satisfy complete all of the aggregate Consideration transactions contemplated by the Plan of Arrangement, as provided in the Plan of Arrangement.

Payment of Consideration. The Purchaser shallwill, following receipt by the REIT of the Final Order and immediately at or prior to the filing by the Company of the Articles of Arrangement Closing, deposit in escrow with the Director, provide the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the PurchaserParties, each acting reasonably) sufficient funds to satisfy the aggregate Consideration as provided in payable to the REIT Unitholders pursuant to the Plan of Arrangement.

Payment of Consideration. The Purchaser shall, following receipt of the Final Order and immediately prior to the filing by the Company Corporation of the Articles of Arrangement with the Director, provide the Depositary with sufficient immediately available funds to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company Corporation and the Purchaser, each acting reasonably) to which, together with the aggregate Redemption Consideration, will satisfy the aggregate Consideration payable to Shareholders as provided for in the Plan of Arrangement.

Payment of Consideration. The Purchaser shall, following receipt of the Final Order and immediately at least one (1) Business Day prior to the filing by the Company of the Articles of Arrangement with the DirectorEffective Date, provide transfer or cause to be transferred to the Depositary with sufficient immediately available funds to satisfy the aggregate Consideration for the Common Shares as provided in the Plan of Arrangement, to be held in escrow (the terms and conditions of such escrow to be satisfactory to the Company and the Purchaser, each acting reasonably) to satisfy the aggregate Consideration as provided in the Plan of Arrangement).
