PAYMENT OF EXPENSES AND TERMINATION. Other than as expressly provided elsewhere in this Agreement, whether or not the Agreement shall be consummated, all costs and expenses, including all Taxes required to be paid prior to Closing, incurred in connection with this Agreement will be paid by the Party incurring such expenses.
