Common use of Payment of Expenses on Transfer; Cancellation Clause in Contracts

Payment of Expenses on Transfer; Cancellation. (a) No service charge shall be made to a Note Holder for any registration of transfer or exchange of Equipment Notes, but the Indenture Trustee, as Equipment Note Registrar, may require payment from the party requesting such new Equipment Note of a sum sufficient to cover any tax or other governmental charge that may be imposed in connection with any registration of transfer or exchange of Equipment Notes. (b) The Indenture Trustee shall cancel all Equipment Notes surrendered for replacement, redemption, transfer, exchange, payment or cancellation and shall destroy the canceled Equipment Notes.
