Common use of Payment of Fees, Costs and Expenses Clause in Contracts

Payment of Fees, Costs and Expenses. The Administrative Agent shall have received payment of all fees, costs and expenses as required by Sections 9 and 10 hereof, including, without limitation, all fees, costs and expenses of the Administrative Agent (including, without limitation, the reasonable fees and out-of-pocket expenses of counsel for the Administrative Agent) in connection with this Amendment, the Credit Agreement and each other Loan Document.

Payment of Fees, Costs and Expenses. The Administrative Agent Agents shall have received payment of all fees, out-of-pocket costs and expenses as required by Sections 9 and 10 hereofexpenses, including, without limitation, all fees, out-of-pocket costs and expenses of the Administrative Agent Agents (including, without limitation, the reasonable fees and out-of-pocket expenses of counsel (including local counsel) for the Administrative AgentLenders and the Agents) in connection with this Amendment, the Credit Agreement and each other Loan Document, including as required by Section 11 hereof.

The Administrative Agent shall have received payment of all fees, costs and expenses as required by Sections 9 and 10 hereof, including, without limitation, all feesincluding the Amendment Fee, costs and expenses of the Administrative Agent and Banks (including, without limitation, the reasonable fees and out-of-pocket expenses of outside counsel for the Administrative Agent) in connection with this Amendment, or then due or overdue under the Credit Agreement and each other Loan Credit Document.
