Payment of Incentive Fee. Notwithstanding anything to the contrary in this Exhibit C, if WPHC, in its sole discretion, causes the Final Closing to occur more than thirty (30) days prior to the Outside Date, then the Incentive Fee shall equal the Target Fee and the Company shall pay 50 percent of such Incentive Fee at the Final Closing and 50 percent of such Incentive Fee within two years of the date of Final Closing.
