Payment of Initial Premium and Expenses. The Insurer shall have been paid, by the Issuer, that portion of a nonrefundable Premium payable on the Closing Date and the Issuer shall agree to reimburse or pay directly other fees and expenses identified in Section 3.02 as then payable to or in respect of the Insurer.
