Common use of Payment of Other Expenses Clause in Contracts

Payment of Other Expenses. In the event that the transaction contemplated by this Participation Agreement fails to close as a result of the Owner Participant's failure to negotiate in good faith or to comply with the terms and conditions upon which its participation in the transaction was predicated, the Owner Participant will be responsible for all of its fees and expenses, including but not limited to the fees, expenses and disbursements of its special counsel.

Payment of Other Expenses. In the event that the transaction transactions contemplated by this Participation Agreement fails fail to close solely as a result of the Owner Participant's failure to negotiate in good faith or to comply with the terms and conditions upon which its participation in the transaction was predicated, the Owner Participant will be responsible for all of its fees and expenses, including but not limited to the fees, expenses and disbursements of its special counsel. If the transactions fail to close for any other reason, Lessee shall be responsible for all Transaction Expenses.
