Common use of Payment of Other Expenses Clause in Contracts

Payment of Other Expenses. Owner shall pay (i) the ongoing fees and expenses of Indenture Trustee and Securities Intermediary, and (ii) all reasonable out-of-pocket costs and expenses (including the reasonable fees and disbursements of counsel) incurred by Indenture Trustee, Securities Intermediary or any Note Holder attributable to any waiver, amendment or modification of any Operative Agreement to the extent requested by Owner.

Payment of Other Expenses. Owner shall pay (i) the ongoing fees and expenses of Indenture Trustee and Securities IntermediaryTrustee, and (ii) all reasonable out-of-pocket costs and expenses (including the reasonable fees and disbursements of counsel) incurred by Indenture Trustee, Securities Intermediary Trustee or any Note Holder attributable to any waiver, amendment or modification of any Operative Agreement to the extent requested by Owner.

Payment of Other Expenses. Owner shall pay (i) the ongoing fees and expenses of Indenture Trustee as set out in separate letter agreement and Securities Intermediarythe reasonable fees and expenses of the Indenture Trustee during the continuance of an Event of Default, and (ii) all reasonable out-of-pocket costs and expenses (including the reasonable fees and disbursements of counsel) incurred by Indenture Trustee, Securities Intermediary Trustee or any Note Holder attributable to the Loan Participant in connection with any waiver, amendment or modification of any Operative Agreement to the extent requested by Owner.
