Common use of Payment of Other Expenses Clause in Contracts

Payment of Other Expenses. Lessee will be responsible for the fees and charges of its counsel incurred in connection with the preparation, execution and delivery of the Operating Agreements. All out-of-pocket costs and expenses of Lessee (including, without limitation, reasonable attorney's fees and charges) incurred in performance of Sections 7.1.3(a), (b) and (c) (other than with respect to the first parenthetical of Section 7.1.3(c)) to the extent constituting Transaction Expenses, shall be paid pursuant to Section 9.2.1 and, otherwise, shall be paid by Airframe Manufacturer. Existing Lessor and Airframe Manufacturer shall each pay all costs and expenses incurred by it in connection with the Operative Agreements.
