Common use of PAYMENT OF OTHER PARTNERSHIP EXPENSES Clause in Contracts

PAYMENT OF OTHER PARTNERSHIP EXPENSES. In connection with the offering, sale and issuance of the Partnership Preferred Securities by the Partnership, the General Partner shall: (a) pay all costs and expenses of the Partnership (including, but not limited to, costs and expenses relating to the organization of the Partnership, the offering, sale and issuance of the Partnership Preferred Securities (including commissions to the underwriters in connection therewith) the fees and expenses of the Special Representatives (if any), and the costs and expenses relating to the operation of the Partnership, including, without limitation, costs and expenses of accountants, attorneys, statistical or bookkeeping services, expenses for printing and engraving and computing or accounting equipment, paying agent(s), registrar(s), transfer agent(s), duplicating, travel and telephone and other telecommunications expenses; and (b) be primarily and fully liable for any indemnification obligations arising with respect to this Agreement.

In connection with the offering, sale and issuance of the Preferred Partnership Preferred Securities by the Partnership, the General Partner shall: (a) pay all costs and expenses of the Partnership (including, but not limited to, costs and expenses relating to the organization of the Partnership, the offering, sale and issuance of the Preferred Partnership Preferred Securities (including commissions to the underwriters in connection therewith) ), the fees and expenses of the Special Representatives (if any), and the costs and expenses relating to the operation of the Partnership, including, without limitation, costs and expenses of accountants, attorneys, statistical or bookkeeping services, expenses for printing and engraving and computing or accounting equipment, paying agent(s), registrar(s), transfer agent(s), duplicating, travel and telephone and other telecommunications expensesexpense); and (b) be primarily and fully liable for any indemnification obligations arising with respect to this Agreement.
