Common use of Payment of Outstanding Indebtedness, etc Clause in Contracts

Payment of Outstanding Indebtedness, etc. All Indebtedness identified in Item 7.2.2(b) of the Disclosure Schedule, together with all interest, all prepayment premiums and other amounts due and payable with respect thereto, shall have been paid in full from the proceeds of the initial Credit Extension and the commitments in respect of such Indebtedness shall have been terminated (other than letters of credit under the Existing Credit Agreement which will be backed by Letters of Credit), and all Liens securing payment of any such Indebtedness shall have been released and the Administrative Agent shall have received all Uniform Commercial Code Form UCC-3 termination statements or other instruments as may be suitable or appropriate in connection therewith.

Payment of Outstanding Indebtedness, etc. All Indebtedness identified in Item 7.2.2(b8.2(b) of the Disclosure Schedule, together with all interest, all prepayment payment premiums and all other amounts due and payable with respect thereto, shall have been paid in full from the proceeds of the initial Credit Extension and the commitments in respect of such Indebtedness shall have been terminated (other than letters of credit under the Existing Credit Agreement which will be backed by Letters of Credit)permanently terminated, and all Liens securing payment of any such Indebtedness shall have been released and the Administrative Agent Lender shall have received all payoff and release letters, Uniform Commercial Code Form UCC-3 termination statements or other instruments or agreements as may be suitable or appropriate in connection therewithwith the release of any such Liens.

Payment of Outstanding Indebtedness, etc. All Indebtedness identified in Item 7.2.2(b) ("Indebtedness to be Paid") of the Disclosure Schedule, together with all interest, all prepayment premiums and other amounts due and payable with respect thereto, shall have been paid in full from the proceeds of the initial Term Loans and the Revolving Credit Extension Loans and the commitments in respect of such Indebtedness shall have been terminated (other than letters of credit under the Existing Credit Agreement which will be backed by Letters of Credit)terminated, and all Liens securing payment of any such Indebtedness shall have been released and the Administrative Collateral Agent shall have received all Uniform Commercial Code Form UCC-3 termination statements or other instruments as may be suitable or appropriate in connection therewith.

Payment of Outstanding Indebtedness, etc. All Bridge Notes and all other Indebtedness identified in Item 7.2.2(b) ("Indebtedness to be Paid") of the Disclosure Schedule, together with all interest, all prepayment premiums and other amounts due and payable with respect thereto, shall have been paid in full from the proceeds of the initial Credit Extension and the Senior Notes and the commitments in respect of such Indebtedness shall have been terminated (other than letters of credit under the Existing Credit Agreement which will be backed by Letters of Credit)terminated, and all Liens securing payment of any such Indebtedness shall have been released and the Administrative Agent shall have received all Uniform Commercial Code Form UCC-3 termination statements or other instruments as may be suitable or appropriate in connection therewith.

Payment of Outstanding Indebtedness, etc. All Indebtedness identified in Item 7.2.2(b) of the Disclosure Schedule, together with all interest, all prepayment premiums and other amounts due and payable with respect thereto, shall have been paid in full from the proceeds of the initial Credit Extension and the proceeds of the Senior Secured Notes and the commitments in respect of such Indebtedness shall have been terminated (other than letters of credit under the Existing Credit Agreement which will be backed by Letters of Credit)terminated, and all Liens securing payment of any such Indebtedness shall have been released and the Administrative Agent Agents shall have received all Uniform Commercial Code Form UCC-3 termination statements or other instruments as may be suitable or appropriate in connection therewith.

Payment of Outstanding Indebtedness, etc. All Not in limitation but in furtherance of Section 5.1.3(b), all Indebtedness identified in Item 7.2.2(b) ("Indebtedness to be Paid") of the Disclosure Schedule, together with all interest, all prepayment premiums and other amounts due and payable with respect thereto, shall have been paid in full from (or shall be paid in full concurrently with receipt of the proceeds of the initial Credit Extension and the Extension); all commitments in respect of such Indebtedness thereunder shall have been terminated (other than letters of credit under the Existing Credit Agreement which will be backed by Letters of Credit), permanently terminated; and all Liens securing payment of any such Indebtedness shall have been released and the Administrative Agent Agents shall have received all Uniform Commercial Code Form UCC-3 termination statements or other instruments as may be suitable or appropriate in connection therewith.

Payment of Outstanding Indebtedness, etc. All Indebtedness identified in Item 7.2.2(b) of the Disclosure ScheduleSchedule (Indebtedness to Be Paid), together with all interest, all prepayment premiums and other amounts due and payable with respect thereto, shall have been paid in full from the proceeds of the initial Credit Extension and proceeds of the Bridge Notes and the commitments in respect of such Indebtedness shall have been terminated (other than letters of credit under the Existing Credit Agreement which will be backed by Letters of Credit)terminated, and all Liens securing payment of any such Indebtedness shall have been released and the Administrative Agent shall have received all Uniform Commercial Code Form UCC-3 termination statements or other instruments as may be suitable or appropriate in connection therewith.

Payment of Outstanding Indebtedness, etc. All Indebtedness identified in Item 7.2.2(b7.2.1(b) ("Indebtedness to be Paid") of the Disclosure Schedule, together with all interest, all prepayment premiums and other amounts due and payable with respect thereto, shall have been paid in full from or, as the case may be, defeased with the proceeds of the initial Credit Extension Extensions and the commitments in respect of such Indebtedness shall have been terminated (other than letters of credit under the Existing Credit Agreement which will be backed by Letters of Credit)terminated, and all Liens securing payment of any such Indebtedness shall have been released and the Administrative Agent shall have received all Uniform Commercial Code Form UCC-3 termination statements or other instruments as may be suitable or appropriate in connection therewith.

Payment of Outstanding Indebtedness, etc. All Indebtedness identified in Item 7.2.2(b) of Schedule 7.2(b), including without limitation, the Disclosure ScheduleIndebtedness incurred under the Existing Credit Agreement, together with all interest, all prepayment premiums and other amounts due and payable with respect thereto, shall have been paid in full from the proceeds of the initial Credit Extension Extensions and the commitments in respect of such Indebtedness shall have been terminated (other than letters of credit under the Existing Credit Agreement which will be backed by Letters of Credit)terminated, and all Liens securing payment of any such Indebtedness shall have been released and the Administrative Agent shall have received all payoff and release letters, Uniform Commercial Code Form UCC-3 termination statements or other instruments or agreements as may be suitable or appropriate in connection therewith.
