Payment of Purchase Price; Closing. (a) DELIVERIES BY PURCHASER. Purchaser hereby delivers to the Company ----------------------- the full Purchase Price by Purchaser's assignment to the Company of certain technology and related rights owned by Purchaser (the "Assigned Technology") by ------------------- delivery to the Company of an Assignment Agreement in the form of Exhibit 1, --------- duly executed by Purchaser.
