Common use of Payment of Registration Expenses for Piggyback Registration Clause in Contracts

Payment of Registration Expenses for Piggyback Registration. The Company shall pay for all Registration Expenses in connection with each registration of Registrable Securities requested pursuant to a Piggyback Registration Right contained in this Section 18. For purposes of this Agreement, the term "Registration Expenses" shall mean any and all expenses incurred in connection with any registration or action incident to performance of or compliance by the Company with Sections 18 or 19 hereof, including, without limitation, (i) all SEC, national securities exchange and NASD registration and filing fees; (ii) all listing fees and all transfer agent fees; (iii) all fees and expenses of complying with state securities or Blue Sky laws (including the fees and disbursements of counsel of the underwriters in connection with Blue Sky qualifications of the Registrable Securities); (iv) all printing, mailing, messenger and delivery expenses; (v) all fees and disbursements of counsel for the Company and of its accountants, including the expenses of any special audits or "cold comfort" letters required by or incident to such performance and compliance; and (vi) any disbursements of underwriters customarily paid by issuers or sellers of securities, but excluding underwriting discounts and commissions, brokerage fees, finder fees and transfer taxes, if any, and fees of counsel or accountants retained by the Holders of Registrable Securities to advise them in their capacity as Holders of Registrable Securities.
