Common use of Payment of Transfer Taxes and Fees Clause in Contracts

Payment of Transfer Taxes and Fees. Sellers shall pay all Transfer Taxes arising out of or in connection with the transactions effected pursuant to this Agreement, and shall indemnify, defend, and hold harmless Buyer, Buyer’s Affiliates including, following the Closing, the Acquired Company with respect to such Transfer Taxes. Sellers shall file all necessary documentation and Tax Returns with respect to such Transfer Taxes.

Sellers shall pay all Transfer Taxes arising out of or in connection with the transactions effected pursuant to this Agreement, and shall indemnify, defend, and hold harmless BuyerBuyers, Buyer’s Buyers’ Affiliates including, following the Closing, the Acquired Company Partnership and its Subsidiaries with respect to such Transfer Taxes. Sellers shall file all necessary documentation and Tax Returns with respect to such Transfer Taxes.

Sellers Seller shall pay all Transfer Taxes arising out of or in connection with the transactions effected pursuant to this Agreement, and shall indemnify, defend, and hold harmless Buyer, Buyer’s Affiliates including, following the Closing, the Acquired Company with respect to such Transfer Taxes. Sellers Seller shall file all necessary documentation and Tax Returns with respect to such Transfer Taxes.

Sellers Parent shall file all necessary documentation and Tax Returns with respect to such Transfer Taxes.

Sellers Seller shall pay all Transfer Taxes arising out of or in connection with the transactions effected pursuant to this Agreement, and shall indemnify, defend, and hold harmless Buyer, BuyerPurchaser and Purchaser’s Affiliates including, following the Closing, the Acquired Company with respect to such Transfer Taxes. Sellers Seller and Purchaser shall file cooperate to ensure that all necessary documentation and Tax Returns are filed with respect to any such Transfer Taxes.
